(a) About Us

(b) Who These Terms Apply To

These Terms apply to:

• individuals who access or use the Platform, or who engage us for interior design and/or execution services, or who are prospective customers of our Services (hereafter, “Users”); and
• independent designers, contractors, vendors, and other service providers who use the Platform to offer or provide their services to Users (“Service Providers”).

References to “you” across these Terms are to Users and Service Providers, as applicable. Where a provision applies only to one category, it is identified as such.

(c) Relationship to the Privacy Policy

Our collection, use, and disclosure of your personal data is governed by our Privacy Policy. By using the Platform, you also agree to the terms of the Privacy Policy.

You represent and warrant that you are at least 18 years of age and competent to enter into a binding contract under the Indian Contract Act, 1872. If you are using the Platform or availing the Services on behalf of a company, organisation, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

(a) To access certain features of the Platform or avail the Services, you may be required to register for an account and provide accurate, current, and complete information, including your name, contact details, and (for Service Providers) applicable business, tax, and identity information.

(b) You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at hi@spazay.com of any unauthorised use of your account or any other breach of security.

(c) We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion, including where we reasonably believe the information provided is inaccurate, incomplete, or the account is being used in violation of these Terms.

(a) Spazay offers interior design and execution services, which may include design consultation, space planning, material and furniture selection, procurement, on-site execution, project management, and related services, as agreed with you at the time of booking (the “Services”).

(b) The specific scope of Services, deliverables, timelines, and pricing for any engagement will be set out in a separate quotation, order confirmation, or service agreement between you and Spazay (or, where applicable, between you and a Service Provider facilitated through the Platform), which forms part of these Terms by reference.

(c) Where Services are delivered by a Service Provider through the Platform, Spazay acts as a facilitator connecting Users with Service Providers. Spazay is not itself a party to, and does not guarantee the performance of, any independent arrangement entered into directly between a User and a Service Provider outside the scope of Services Spazay has agreed to provide or oversee.

(d) We reserve the right to modify, suspend, or discontinue the Platform or any Service (or any part thereof) at any time, with or without notice, without any liability to you.

As a User, you agree to:

• provide accurate and complete information required for us (or a Service Provider) to render the Services, including property details, measurements, preferences, and access arrangements;
• provide timely approvals, feedback, and decisions at each stage of the design and execution process, as reasonably requested;
• ensure safe and reasonable access to the property where execution work is to be carried out, and obtain any consents required from landlords, housing societies, or other authorities;
• make payments in accordance with the agreed payment schedule; and
• not use the Platform or Services for any unlawful, fraudulent, or abusive purpose.

Delays in providing approvals, access, or information may result in corresponding delays to project timelines, for which Spazay shall not be liable.

As a Service Provider, you agree to:

• provide accurate information about your business, qualifications, experience, and services offered;
• render services with reasonable skill, care, and diligence, and in compliance with applicable laws, safety standards, and building codes;
• comply with all applicable tax, licensing, and regulatory requirements relevant to the services you provide;
• maintain the confidentiality of User information accessed through the Platform, and use it solely for the purpose of rendering the agreed services; and
• not engage in any conduct that is misleading, unsafe, or that damages the reputation of Spazay or the Platform.

Spazay reserves the right to verify credentials, conduct background checks, and remove Service Providers from the Platform at its sole discretion, including for breach of these Terms, poor performance, or complaints from Users.

(a) Pricing

Prices for Services will be communicated to you at the time of quotation or booking and may vary based on project scope, materials, and location. All prices are subject to applicable taxes unless stated otherwise.

(b) Payment Schedule

Payments are typically made in instalments linked to project milestones, as set out in your service agreement or order confirmation. Payments may be made through the payment methods made available on the Platform, including bank transfer, UPI, or card payment through our payment processors.

(c) Cancellations

If you wish to cancel a booking or ongoing project, please contact us at hi@spazay.com. Cancellation charges, if any, and the extent of refund of amounts already paid, will depend on the stage of the project at the time of cancellation (including design work completed, materials ordered or procured, and execution work already carried out) and will be communicated to you at the time of cancellation, in line with the terms of your specific service agreement.

(d) Refunds

Where a refund is due, it will be processed to the original method of payment within a reasonable period, subject to deduction of any amounts owed for work completed, materials procured, or third-party commitments already made on your behalf.

(a) The Platform, including its design, text, graphics, logos, and software, is owned by or licensed to Spazay and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our prior written consent.

(b) Design concepts, drawings, mood boards, and other design deliverables created by Spazay or its Service Providers for a specific User project remain the intellectual property of Spazay (or the relevant Service Provider, as applicable) until full payment for the relevant Services has been received, following which the User is granted a licence to use such deliverables for the purpose of the project for which they were created.

(c) By submitting photographs, reviews, testimonials, or other content to the Platform, you grant Spazay a non-exclusive, royalty-free, worldwide licence to use, reproduce, and display such content for marketing and promotional purposes, unless you notify us otherwise in writing.

The Platform may contain links to third-party websites, applications, or services (including payment processors and social media platforms) that are not owned or controlled by Spazay. We are not responsible for the content, privacy practices, or terms of any third-party service, and your use of such services is at your own risk and subject to their respective terms.

(a) THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, SPAZAY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

(b) While we take reasonable care in selecting and overseeing Service Providers, Spazay does not guarantee that the Platform will be uninterrupted, error-free, or entirely secure, or that the results of any design or execution project will meet your subjective expectations in every respect, beyond what has been specifically agreed in writing.

(c) Any warranty on materials, fittings, or workmanship will be as specified in your service agreement or as provided by the relevant manufacturer or Service Provider, and is subject to the terms of that warranty.

(a) TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPAZAY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR THE SERVICES.

(b) SPAZAY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO SPAZAY FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM.

(c) Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law.

You agree to indemnify and hold harmless Spazay, its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your violation of any applicable law; (c) your infringement of any third-party right; or (d) any information or content you provide to us or make available through the Platform.

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services, and to use such information solely for the purpose of performing its obligations under these Terms, except where disclosure is required by law or with the prior written consent of the disclosing party.

(a) We may suspend or terminate your access to the Platform, in whole or in part, at any time, with or without cause or notice, including where we reasonably believe you have violated these Terms.

(b) You may stop using the Platform at any time. Termination of your account does not affect any accrued rights or obligations, including payment obligations for Services already rendered, which shall survive termination.

(c) Sections relating to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Confidentiality, and Governing Law shall survive termination of these Terms.

Spazay shall not be liable for any delay or failure to perform its obligations under these Terms resulting from causes beyond its reasonable control, including natural disasters, acts of government, labour disputes, supply chain disruptions, pandemics, or other events of force majeure.

(a) Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

(b) Arbitration

Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by Spazay. The seat and venue of arbitration shall be Delhi, India, and the language of arbitration shall be English.

(c) Jurisdiction

Subject to the arbitration agreement above, the courts at Delhi/NCR shall have exclusive jurisdiction over any matters not covered by, or arising in relation to, this arbitration clause (including applications for interim relief).

We will make reasonable efforts to acknowledge and resolve your grievance within the timelines prescribed under applicable law.

We may update these Terms from time to time to reflect changes in our Services, business practices, or applicable law. We will notify you of material changes through the Platform or other reasonable means. Your continued use of the Platform after such changes take effect constitutes your acceptance of the revised Terms.

(a) Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreement or order confirmation, constitute the entire agreement between you and Spazay regarding your use of the Platform and Services.

(b) Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

(c) Waiver

No failure or delay by Spazay in exercising any right under these Terms shall operate as a waiver of that right.

(d) Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Spazay may assign these Terms in connection with a merger, acquisition, or sale of assets.
